كيبل النمو للتطوير (ذات مسؤولية محدودة مختلطة)


أنه بتاريخ ___/___/___ 14هـ الموافق ___/___/___ 2015م ، أقر الشركاء في الشركة وهم كل من:

1- الشريك/ شركة النمو العقاري المحدودة والمالكة لنسبة (49%) ("طرف أول")

2- الشريك/ كبيل لاند (ارابيا) بي.تي.أي.ليميتد والمالكة لنسبة (51%) ("طرف ثاني")

أولا: استناداً لقرار الشركاء الصادر في / / الموافق / / المتضمن موافقة الشركاء بالاجماع علي توزيع الأرصدة المتوفرة بحسابات الشركة والتي تزيد عن رأس مال الشركة ، حيث أثبت التقرير المحاسبي لمكتب مراجع الحسابات للشركة ( مكتب ايرنست اند يونج) بالتقرير الصادر في / / الموافق/ / ، أن رأسمال الشركة يكفي لمواجهة الديون والإلتزامات المستحقة على الشركة حتى إنتهاء أعمال التصفية.

ثانياً: يقر الشركاء بتحملهم المسئولية كاملة أمام المصفي وأمام دائني الشركة والجهات الرسمية عن أي ديون تتجاوز رأسمال الشركة، وإقرار باخلاء ذمة المصفي من اي مسئولية قانونية او مالية مهما كانت تجاه الدائنين وامام الجهات الرسمية عن انفاذ قرار الشركاء.

ثالثا: يقر الشركاء بالتزامهم النهائي امام المصفي وامام الجهات الرسمية برد المبالغ الموزعة على الشركاء بموجب هذا الاقرار فور مطالبة المصفي لهم بردها وذلك لمواجهة اي التزامات اضافية قد تظهر علي الشركة قبل انتهاء التصفية بمايزيد عن راس مال الشركة.

رابعاً: يقر الشركاء بالتزامهم النهائي بتعويض المصفي وحمايته من الاضرار الناتجة عن اخلال الشركاء بالتزامهم برد المبالغ الموزعة على الشركاء بموجب هذا الاقرار في حالة ظهور التزامات اضافية قبل انتهاء التصفية بمايزيد عن راس مال الشركة.



خامساً: الموافقة علي تعميد المصفي تحت مسئوليتنا المنفردة بتوزيع الرصيد المتوفر بحسابات الشركة بمايزيد عن رأس المال وهو مبلغ وقدره (33,000,000) ثلاثة وثلاثون مليون ريال سعودي ، يوزع وفقاً للتالي:
أ‌) مبلغ وقدره (16,170,000) ستة عشر مليون ومائة وسبعون ألف ريال سعودي للطرف الأول شركة النمو العقاري المحدودة.
ب‌) مبلغ وقدره (16,830,000) ستة عشر مليون وثمانمائة وثلاثون ألف ريال سعودي للطرف الثاني كبيل لاند (ارابيا) بي.تي.أي.ليميتد.
